Terms & Conditions – CloudTrains

These Terms & Conditions (“Agreement”) govern the relationship between CloudTrains, a brand operated by Vyomati Labs (“CloudTrains”, “we”, “our”) and the client (“you”, “your”) for all services including but not limited to software development, web/mobile applications, SaaS, AI, cloud, and consulting projects.

By engaging CloudTrains, you agree to the following terms:

1. Engagement & Scope of Work

• Work will commence once project scope, deliverables, and timelines are mutually agreed and confirmed in writing.
• The quotation/proposal covers only the documented requirements.
• Any additional features or modifications requested after approval will be treated as a Change Request and may affect cost & timeline.

2. Payments & Refunds

• All payments shall be made to Vyomati Labs as per the invoice details provided.
• A 30% advance payment of the total project cost is required before work begins.
• The remaining amount will be divided into milestone-based payments, due upon approval of each milestone.
• Advance payments and completed milestones are non-refundable.
• Work may be paused or withheld if payments are delayed.

3. Ownership, Intellectual Property & Usage

• Until full payment is received, all source code, designs, and deliverables remain the property of CloudTrains (operated by Vyomati Labs).
• Upon receipt of full and final payment, ownership of the final deliverables will be transferred to the client, excluding any pre-existing frameworks, reusable components, or proprietary tools.
• CloudTrains may showcase non-confidential parts of the project (logos, screenshots, mockups) in its portfolio and marketing material unless otherwise agreed.

4. Timelines & Dependencies

• CloudTrains will make every effort to meet agreed deadlines.
• Timelines depend on timely inputs, approvals, and content/materials provided by the client. Any delays from the client side may extend the project schedule.

5. Support & Maintenance

• CloudTrains provides 6 months of complimentary bug-fix support post-project delivery.
• Support does not include new features, enhancements, or third-party/server issues. These will be handled under a separate agreement.
• If the delivered files/code are altered by third parties, free support will be void.

6. Hosting, Domain & Third-Party Services

• Domain names, hosting, and third-party subscriptions (e.g., APIs, cloud servers) are the client’s responsibility unless specifically included in the contract.
• CloudTrains is not liable for downtime, errors, or costs arising from third-party services.

7. Payments & Late Fees

• Invoices must be cleared within 14 days from the date of issue.
• Delayed payments may attract a 2% per month late fee.
• If payments remain unpaid beyond 30 days, CloudTrains reserves the right to suspend services until dues are cleared.

8. Confidentiality

• Both parties agree to keep all project-related and business-sensitive information confidential.
• CloudTrains may use aggregated, non-identifiable data for improving its services.

9. Limitation of Liability

• CloudTrains will not be liable for losses caused by third-party services, ISPs, or hosting providers.
• We are not liable for downtime due to server issues, cyberattacks, or client-side changes.
• We are not responsible for indirect, incidental, or consequential damages.
• Our maximum liability is limited to the total fees paid for the concerned project.

10. Termination

• Either party may terminate the project with written notice.
• Payments for work completed up to termination remain payable.
• Advance payments will not be refunded.

11. Governing Law

• This Agreement is governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Noida, Uttar Pradesh.

12. Acceptance

• By engaging CloudTrains, you confirm that you have read, understood, and agree to these Terms & Conditions.
